MitoMind Community & Course
Terms & Conditions
Provider: Moira Newiss – sole practitioner
Please read these terms carefully before purchasing or using the MitoMind Community and Course. They explain what we provide, how membership renews and can be cancelled, the limits of the programme, and the standards expected within the community. By placing an order, ticking the acceptance box at checkout, or using the programme, you agree to these terms.

Important health notice This is an educational and group health-coaching programme that helps you implement lifestyle changes. It is not medical care, psychiatric care, psychotherapy. There is no diagnosis or treatment provided or any personalised nutritional, lifestyle or medical advice. Before changing your diet or lifestyle we strongly recommend you consult your medical practitioner. Do not start, stop or change medication because of anything discussed in the programme, any changes to medication should always be discussed with the appropriate prescriber. It does not guarantee you any health outcomes.

1 About us and these terms
The MitoMind Community and Course is supplied by Moira Newiss, (referred to as we, us or our). You can contact us at hello@moiranewiss.co.uk.

These terms form the contract between us and the person who purchases or uses the programme (you or member). If the sales page, order confirmation or a written offer contains specific details that differ from these terms, those specific details apply to the extent of the difference. Nothing in these terms limits rights that cannot lawfully be excluded under UK consumer law.

2 Eligibility and account security
You must be at least 18 years old and legally able to enter into a contract. The programme is intended for personal use, or for an adult supporting them (again aged 18 years).

You must provide accurate registration information, keep your login details confidential and tell us promptly if you believe your account has been used without permission. Membership and access are personal to you and may not be shared, transferred, resold or used to give another person access.

3 What the programme includes
Your purchase gives you access to the digital course materials, online community and live group coaching sessions described on the sales or checkout page for the membership option you selected. Any stated schedule, module order, resource list or facilitator may reasonably change where necessary, provided that the overall service remains substantially as described.

We do not guarantee that every member will achieve a particular health, wellbeing, weight, metabolic or mental health outcome. Results vary and depend on factors outside our control, including a member's circumstances, health, engagement and clinical care.

4 Live group coaching
Live group coaching sessions will be led by a suitably qualified health coach or other appropriately qualified professional. This may be Moira Newiss or a suitably qualified stand-in selected by us. The identity of the facilitator may change because of availability, illness, leave or programme requirements.
Live sessions provide general education, reflection and group coaching. They are not individual consultations and the facilitator cannot assess, diagnose or treat any individual member. A comment made in a group session must not be treated as a personal clinical recommendation.

5 Medical and mental health disclaimer
The programme is not a substitute for advice, diagnosis, treatment or monitoring from a GP, psychiatrist, psychologist, dietitian, nutritional therapist, pharmacist or other appropriately qualified healthcare professional. It is intended to sit alongside conventional care, including prescribed medication and psychological therapies, rather than replace it.

You should seek advice from an appropriately qualified healthcare professional before making material dietary, fasting, exercise, sleep, supplement or other lifestyle changes, particularly if you have a physical or mental health condition, are pregnant or breastfeeding, have a history of an eating disorder, or take prescribed medication.

Dietary change, weight loss, fasting and changes in carbohydrate intake can alter medication requirements or increase the risk of adverse effects. This can be particularly important with insulin, sulfonylureas and other glucose-lowering medicines, blood-pressure medicines, lithium, anticonvulsants, antipsychotics and other psychiatric medicines. Medication must be reviewed and changed only with the involvement of the relevant prescriber or clinical team.

A ketogenic diet is not suitable for everyone. It should not be undertaken by anyone with certain rare metabolic disorders that affect the body’s ability to use fat as fuel, including primary carnitine deficiency, carnitine palmitoyltransferase deficiency, carnitine translocase deficiency, pyruvate carboxylase deficiency, glycogen storage disease type 1, succinyl-CoA acetoacetate transferase deficiency, fatty-acid oxidation disorders or porphyria. It may also be unsuitable for people with serious organ disease or organ failure, including severe liver, kidney, heart or respiratory disease, or pancreatitis. Anyone who is pregnant or breastfeeding, underweight, experiencing an acute mental health crisis or episode, or who has a history of an eating disorder, alcohol dependence or substance dependence should not begin a ketogenic diet through this programme without specific approval and ongoing supervision from an appropriately qualified healthcare professional. Medical advice and appropriate clinical supervision are also essential for anyone with type 1 diabetes; type 2 diabetes treated with insulin, sulfonylureas or SGLT2 inhibitors; cardiovascular, liver, kidney, pancreatic or neurological disease; active cancer; gout; recurrent kidney stones; previous bariatric surgery; or gallbladder removal. This list is not exhaustive, and anyone who is uncertain about whether a ketogenic diet is appropriate for them must consult their doctor or relevant clinical team before making dietary changes.

You remain responsible for deciding whether the programme is suitable for you, obtaining any necessary medical advice and continuing appropriate clinical monitoring and treatment.

6 Emergencies and suitability for group support
The programme is not an emergency, crisis or safeguarding service. Community posts and messages are not continuously monitored. If you believe that you or another person is in immediate danger, call 999 or attend the nearest Accident and Emergency department. For urgent mental health support, contact your NHS or local crisis service or another appropriate emergency service. In the community setting immediately flag concerns about another member to the administrators.

If we reasonably believe that your needs fall outside the scope of an educational group programme, that specialist medical or mental health intervention is required, or that your continued participation creates a material safety or safeguarding concern, we may pause or end your participation and encourage you to seek appropriate professional support. Where access is ended for suitability or safety reasons rather than serious misconduct, we will normally refund any prepaid amount relating to the unused period, subject to any amount lawfully due for digital content or services already supplied.

7 Community standards
You agree to communicate respectfully and not post or share content that is abusive, threatening, discriminatory, harassing, defamatory, sexually explicit, unlawful, misleading, dangerous, or likely to identify or endanger another person. You must not promote self-harm, suicide, medication changes without clinical support, extreme or unsafe health practices, or treatment claims presented as medical fact.
You must respect other members' privacy. You may not copy, record, screenshot, download, publish or share another member's name, image, story, health information, posts or comments outside the community without that person's clear permission.

We may moderate or remove content, restrict posting, suspend access or remove a member where we reasonably believe these terms have been breached or action is needed to protect members, staff, the programme or third parties. Except where immediate action is needed, we will aim to explain the concern and give the member a reasonable opportunity to respond. Serious or repeated misconduct may result in removal without a refund for the remaining period, to the extent permitted by law.

8 Privacy within a group
We ask every member to preserve confidentiality, but an online group cannot guarantee that another member will do so. You should share only information that you are comfortable disclosing in a group setting and should avoid posting unnecessary identifying, medical or sensitive information.

The facilitator may direct a member to a private or clinical channel if a topic is unsuitable for group discussion. The programme does not create a doctor-patient, therapist-client or other clinical relationship.

9 Session recordings
Live weekly coaching sessions will not be recorded in order to ensure confidentiality. However, live guest speaker sessions may be recorded and made available to current members. We will tell participants when recording is taking place. Members should keep cameras and microphones off and avoid sharing identifying or sensitive information if they do not wish to appear in a recording.

You may not make your own audio, video, screen or transcript recording of a live session or community content without our prior written permission and the permission of every identifiable participant.

10 Prices payment and renewal
The price, billing interval and any initial or promotional period are shown before you place your order. Unless stated otherwise, prices include any applicable UK VAT. Payments are processed through the payment provider identified at checkout.

Monthly and annual memberships renew automatically at the end of each billing period at the price disclosed at checkout, unless you cancel before the next payment is taken. We will not charge a new price without giving any notice required by law and a reasonable opportunity to cancel. You are responsible for keeping your payment details current.

If a payment fails, we may retry the payment and may suspend access while payment remains overdue. We will not charge fees that were not clearly disclosed and expressly agreed.

11 Cancelling ongoing membership
You may cancel the renewal of your membership at any time using the cancellation facility in your account, where available, or by emailing hello@moiranewiss.co.uk. Cancellation stops future renewal payments. Unless a statutory cancellation right or an agreed refund applies, you will normally retain access until the end of the billing period already paid for and no further payment will be taken.

Cancelling an ongoing membership is different from exercising a statutory right to cancel during a cooling-off period. The statutory position is explained below.

12 Fourteen day statutory cancellation rights
For an online purchase, you will generally have a statutory right to cancel the contract within 14 days after the day the contract is made, subject to the rules for digital content and services described in this section.
Digital content: if you ask us to supply the on-demand course and community resources immediately, you give express consent for supply to begin during the 14-day cancellation period and acknowledge that you will lose your statutory right to cancel the digital-content element once supply begins. Accessing, streaming or downloading the digital content after giving that consent and acknowledgement will therefore end the statutory cancellation right for that element.

Live and other services. If you ask us to begin live coaching or another service during the 14-day cancellation period and then cancel within that period, you must pay a proportionate amount for the service supplied up to the time you tell us that you are cancelling. You lose the statutory right to cancel a service only when the service has been fully performed, and only where the legal requirements for that loss of right have been met.

Because the programme contains both digital content and services, the refund due following a valid statutory cancellation may be calculated by reference to the elements already supplied. Nothing in these terms removes a statutory right that the law gives you.

13 How to exercise a statutory cancellation right
To exercise a statutory cancellation right, send a clear statement to hello@moiranewiss.co.uk before the cancellation period expires. You may use the model form at the end of these terms, but you do not have to use it.

Where a refund is due, we will make it without undue delay and no later than 14 days after we are informed of a valid cancellation. We will use the same payment method used for the original transaction unless we agree otherwise. We may deduct or require payment only for digital content or services supplied where the law permits us to do so.

14 Our additional refund policy
Outside your statutory rights, you may send a refund request to Moira Newiss at hello@moiranewiss.co.uk. We will consider requests fairly, but a discretionary refund is not guaranteed.

When deciding a discretionary refund, we may take account of the date of the request, the membership period used, live sessions attended and whether substantial course or community resources have been opened, streamed or downloaded. We may withhold a reasonable amount reflecting access and services already supplied, but we will not use this policy to restrict any refund or remedy required by law.
Unless the sales page expressly promises otherwise, ordinary cancellation after the statutory period does not create a right to a pro-rata refund for the remainder of a monthly or annual billing period.

15 Intellectual property and permitted use
The programme, including its videos, recordings, text, worksheets, graphics, methods, branding and other resources, is owned by us or licensed to us and is protected by intellectual property law.
We grant you a personal, limited, non-exclusive, non-transferable and revocable licence to use the materials for your own non-commercial learning while your access remains active, together with any longer download rights expressly stated on the sales page. You may not reproduce, sell, sublicense, teach from, publish, upload, distribute, adapt or use the materials to create another course, service or artificial-intelligence dataset without our prior written permission.

16 Content you contribute
You retain ownership of original content you post. You give us a non-exclusive, royalty-free licence to host, display and technically process that content only as reasonably necessary to operate, moderate and administer the programme. This licence ends when the content is deleted, except for backup retention, legal obligations and content that other members have lawfully incorporated into an ongoing discussion.
You confirm that you have the right to post your content and that doing so does not infringe another person's rights or breach confidentiality. We will not use an identifiable testimonial or member story in external marketing without separate permission.

17 Technology access and third party services
The checkout, payment, course and community functions may be provided using ThriveCart, ThriveCart Learn or Academy, payment processors, video-conferencing services, email providers and other service suppliers. Their systems may use strictly necessary cookies or similar technologies to authenticate users, process payments, remember settings, provide security and operate the service. Optional analytics or marketing cookies should be controlled through the relevant cookie choices and are explained in the applicable cookie notice.

Those suppliers may process personal data on our behalf or, for some activities such as payments, under their own privacy terms. Their availability and technical performance are not entirely within our control. You are responsible for suitable internet access, a compatible device and reasonable security measures. Please see our Privacy Notice and Cookie Notice, and any privacy information presented by a payment or platform provider, for further details.

We will take reasonable care to keep the programme available and secure, but we do not promise uninterrupted or error-free access. We may temporarily suspend access for maintenance, security, upgrades or events beyond our reasonable control and will take reasonable steps to restore it.

18 Data protection
Moira Newiss is registered with the Information Commissioner's Office as a data controller where registration is required. ICO registration does not amount to endorsement of the programme.
We will process personal data in accordance with applicable UK data-protection legislation, including the UK GDPR and the Data Protection Act 2018. Records will be kept securely, used only for lawful purposes, shared only where there is a lawful basis, and retained for no longer than necessary, subject to legal, insurance and professional requirements.

Health and mental health information is special-category personal data and should not be posted unless necessary. Our separate Privacy Notice explains what information we collect, our purposes and lawful bases, any special-category condition relied on, recipients and processors, international transfers, retention periods, your rights and how to complain to the ICO. The Privacy Notice forms part of the information provided to you but is not intended to reduce your legal rights.

19 Changes to the programme or these terms
We may make reasonable changes to the content, timetable, facilitator, platform or these terms to improve the programme, respond to legal or regulatory requirements, address safety or security, or reflect changes to third-party services. We will not make a material change that removes the main benefit of the paid programme without giving reasonable notice and, where appropriate, a fair right to cancel.
The version accepted when you purchased will apply to that purchase unless a lawful change is notified to you. We aim for the programme to continue to be available as long as the ThriveCart and Thrive Academy platforms are operational. If for any reason these platforms close down or fail to deliver the exectped standard of service we may choose to move the program to a new platform, you will be notified and given the option to move your membership over or cancel at this point. We do however reserve the right to discontinue the programme at any time giving one month notice, after which time no more regular payments will be taken and members on an annual subscription would be offered a partial refund based on the number of remaining months their membership covers.

20 Liability
We do not exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory consumer rights.

Subject to the paragraph above, we are responsible for foreseeable loss or damage caused by our breach of these terms or failure to use reasonable care and skill. We are not responsible for loss or damage that was not foreseeable, for business losses where you purchased as a consumer, for a member's failure to seek or follow appropriate clinical advice, or for matters caused by inaccurate information supplied by the member.

Nothing in these terms makes another member, a platform provider or an independent healthcare professional our agent. Any third-party link or resource is provided for convenience and does not amount to an endorsement or a personal recommendation.

21 Complaints
Please send complaints to Moira Newiss at hello@moiranewiss.co.u, describing what happened and the outcome you are seeking. We will acknowledge the complaint and aim to provide a substantive response within a reasonable period. This complaints process does not affect your statutory rights.

22 General legal terms
If any provision is found unlawful or unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right does not waive that right. You may not transfer your contract without our written agreement. We may transfer our rights or obligations only where this does not reduce your rights or protections.

No person other than you and us has a right to enforce these terms. These terms, together with the order information and policies expressly referred to in them, form the agreement between us concerning the programme.

23 Governing law and courts
These terms are governed by Scots law. If you live in Scotland, the Scottish courts will have jurisdiction. If you live elsewhere in the United Kingdom, you may also have the right to bring proceedings in the courts of the part of the United Kingdom where you live.
